Terms & Conditions

1. INTRODUCTION

These Terms and Conditions ("Terms") govern your access to and use of the SecurePost service, including the SecurePost website, mobile applications, and related services (collectively, the "Service"). SecurePost is a Software-as-a-Service (SaaS) platform designed to help mailbox service providers manage mailboxes, track packages, and communicate with customers.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and SecurePost Inc. ("SecurePost," "we," "us," or "our").

2. ACCOUNT REGISTRATION AND ELIGIBILITY

2.1 Registration Requirements
To use the SecurePost Service, you must register for an account. During registration, you will be required to provide certain information, such as your name, email address, business information, and payment details. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

2.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify SecurePost immediately of any unauthorized use of your account or any other security breach. SecurePost will not be liable for any loss or damage arising from your failure to comply with this section.

2.3 Eligibility
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. SUBSCRIPTION AND PAYMENT TERMS

3.1 Subscription Plans
SecurePost offers various subscription plans with different features and pricing. The details of each plan are available on our website. We reserve the right to modify, terminate, or otherwise amend our offered subscription plans at any time.

3.2 Free Trial
We may offer a free trial period for new users. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial period ends.

3.3 Payment and Billing
You agree to pay all fees associated with your chosen subscription plan. All payments are due in advance of the applicable subscription period. By providing a payment method, you authorize us to charge that payment method for all fees incurred during the subscription period.

3.4 Taxes
All fees are exclusive of applicable federal, provincial, state, local or other taxes. You are responsible for all applicable taxes, except for taxes based on SecurePost's net income.

3.5 Refunds
All payments are non-refundable except as expressly provided in these Terms or as required by applicable law.

3.6 Fee Changes
SecurePost reserves the right to change its fees and payment terms at any time. If we make a material change to the fees or payment terms, we will provide notice to you via email or through the Service at least 30 days before the change becomes effective.

4. SERVICE USE AND LIMITATIONS

4.1 License Grant
Subject to your compliance with these Terms, SecurePost grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business operations related to mailbox management and package tracking.

4.2 Usage Restrictions
You shall not, and shall not permit any third party to:

  • Use the Service for any illegal purpose or in violation of any applicable law or regulation

  • Use the Service to infringe the intellectual property rights of others

  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service

  • Modify, adapt, translate, or create derivative works based on the Service

  • Remove, obscure, or alter any proprietary notices or labels on the Service

  • Access the Service through automated means, such as scripts, bots, or scrapers

  • Use the Service to transmit any viruses, malware, or other harmful code

  • Interfere with or disrupt the integrity or performance of the Service

  • Attempt to gain unauthorized access to the Service or related systems or networks

  • Use the Service to store or transmit content that is unlawful, offensive, or otherwise objectionable
     

4.3 Customer Data
You retain all rights in and to your customer data and other content that you upload, submit, or otherwise make available through the Service ("Customer Data"). You grant SecurePost a non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, and display the Customer Data as necessary to provide and maintain the Service.

4.4 Usage Limits
The Service may be subject to usage limits, including, for example, limits on the number of mailboxes, packages, or users. If you exceed these limits, SecurePost reserves the right to throttle your usage, upgrade your subscription, or suspend your access to the Service.

5. DATA PRIVACY AND SECURITY

5.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of information as described in the Privacy Policy.

5.2 Data Security
SecurePost implements reasonable security measures to protect your data from unauthorized access, disclosure, or use. However, no method of transmission over the Internet or electronic storage is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.
5.3 Data Processing Agreement
If required by applicable law (such as the General Data Protection Regulation or similar privacy laws), SecurePost will enter into a data processing agreement with you that governs the processing of personal data.

5.4 Compliance with Laws
You agree to comply with all applicable data protection, privacy, and security laws and regulations when using the Service, including obtaining all necessary consents from your customers for the collection, use, and disclosure of their personal information.

6. THIRD-PARTY SERVICES AND CONTENT

6.1 Third-Party Services
The Service may integrate with or enable access to third-party websites, services, or content ("Third-Party Services"). SecurePost does not control Third-Party Services, and your use of Third-Party Services is governed by the terms and privacy policies of the third parties providing such services.

6.2 No Endorsement
SecurePost's provision of access to Third-Party Services does not imply endorsement of or responsibility for such Third-Party Services. You agree that SecurePost is not responsible for any loss or damage that may arise from your use of Third-Party Services.

7. INTELLECTUAL PROPERTY RIGHTS
7.1 SecurePost Intellectual Property
All intellectual property rights in and to the Service, including all software, content, designs, logos, trademarks, and other materials, are owned by or licensed to SecurePost. Nothing in these Terms transfers any of SecurePost's intellectual property rights to you.

7.2 Feedback
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant SecurePost a non-exclusive, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license to use, modify, reproduce, distribute, display, and otherwise exploit the Feedback for any purpose without restriction.

8. TERM AND TERMINATION

8.1 Term
These Terms will remain in effect until terminated by either you or SecurePost.

8.2 Termination by You
You may terminate these Terms at any time by canceling your account and ceasing all use of the Service. If you cancel your subscription before the end of your current paid subscription period, your subscription will remain active until the end of the current billing cycle, and you will not receive a refund.

8.3 Termination by SecurePost
SecurePost may terminate or suspend your access to the Service, in whole or in part, at any time for any reason, including if:

  • You breach any provision of these Terms

  • You fail to pay any fees when due

  • You have not accessed the Service for an extended period

  • SecurePost believes, in its sole discretion, that your use of the Service could adversely impact SecurePost, the Service, or any third party
     

8.4 Effect of Termination
Upon termination:

  • Your license to use the Service will immediately terminate

  • Your account will be disabled, and you may no longer have access to your Customer Data

  • You will remain liable for all amounts due under your subscription up to and including the date of termination

  • SecurePost may, but is not obligated to, delete your Customer Data after a reasonable period
     

8.5 Survival
The provisions of Sections 3 (Subscription and Payment Terms), 7 (Intellectual Property Rights), 8.4 (Effect of Termination), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 12 (General Provisions) will survive any termination of these Terms.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SECUREPOST DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SECUREPOST DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE INFORMATION PROVIDED THROUGH THE SERVICE IS ACCURATE, RELIABLE, OR COMPLETE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
SECUREPOST DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

10. LIMITATION OF LIABILITY

IN NO EVENT SHALL SECUREPOST, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE

  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE

  • ANY CONTENT OBTAINED FROM THE SERVICE

  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL SECUREPOST'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO SECUREPOST FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT SECUREPOST HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SecurePost, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

  • Your violation of these Terms

  • Your use of the Service

  • Your violation of any rights of another

  • Your Customer Data

SecurePost reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with SecurePost in asserting any available defenses.

12. GENERAL PROVISIONS

12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

12.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall be finally settled by binding arbitration administered by the Canadian Arbitration Association in accordance with its rules. The arbitration shall take place in Vancouver, British Columbia, Canada, and shall be conducted in the English language by a single arbitrator. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 No Class Actions
YOU AND SECUREPOST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.4 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

12.5 No Waiver
SecurePost's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

12.6 Assignment
You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without SecurePost's prior written consent. SecurePost may assign these Terms in whole or in part at any time without notice.

12.7 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms that apply to specific features of the Service, constitute the entire agreement between you and SecurePost regarding the Service and supersede all prior agreements and understandings, whether written or oral.

12.8 Modifications to Terms
SecurePost reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice to you via email or through the Service at least 30 days before the changes become effective. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

13. SPECIFIC PROVISIONS FOR MAILBOX MANAGEMENT

13.1 Mailbox Data Accuracy
You are responsible for maintaining accurate records of mailbox assignments, customer information, and package tracking data. SecurePost is not responsible for any errors or inaccuracies in the data you enter into the Service.

13.2 Customer Communications
The Service may send automated communications to your customers regarding package deliveries, mailbox subscription renewals, and other notifications. You are responsible for ensuring that you have obtained all necessary consents from your customers to receive such communications in compliance with applicable laws, including anti-spam legislation.

13.3 No Guarantee of Delivery
SecurePost does not guarantee that notifications sent through the Service will be delivered to your customers. Various factors beyond our control, including incorrect contact information, email filtering, network issues, or customer device settings, may prevent delivery of notifications.

13.4 Data Retention
SecurePost will retain your Customer Data for as long as your account is active or as needed to provide you with the Service. We may retain and use your Customer Data as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

13.5 Service Availability
While we strive to provide continuous access to the Service, we do not guarantee 100% uptime. The Service may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance. SecurePost will use reasonable efforts to limit any downtime and to provide advance notice of scheduled maintenance.

14. SPECIFIC PROVISIONS FOR CANADIAN USERS

14.1 Language
The parties have expressly requested and required that these Terms and all other related documents be drawn up in the English language. Les parties conviennent et exigent expressement que ce Contrat et tous les documents qui s'y rapportent soient rédigés en anglais.

14.2 Privacy Laws
For users in Canada, SecurePost will comply with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, provincial privacy laws.

14.3 Consumer Protection
If you are a consumer in Quebec, the Consumer Protection Act may provide you with additional rights. Nothing in these Terms is intended to limit your rights under Quebec's consumer protection laws.
